The website available at www.chatrule.ai, including any of its subdomains or sections ("Website"), is operated by Virede LLC("Chatrule", "Virede LLC", or "us"), a limited liability company incorporated in Delaware, USA, with registered office at 8 The Green, Dover, DE 19901, USA. 1. Agreement to These Terms

These Terms govern your access to and use of all the services provided by Chatrule AI. Please read them carefully, as they include important information about your legal rights. By accessing or using the Services, you're agreeing to these Terms. If you don't understand or agree to these Terms, please don't use the Services.

In these Terms, "you" and "your" means you as the user of the Services. If you use the Services on behalf of a company or other entity then "you" includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity's behalf.

Important Notice: These Terms contain provisions requiring any disputes to be resolved through binding individual arbitration and waiving the right to a class or representative action. By using the Services, you agree to resolve any disputes exclusively through arbitration, thus waiving your right to trial by judge or jury.

Any abusive or exploitative use of our services is strictly prohibited. This includes, but is not limited to, the use of bots, scripts, automation tools, or any other method designed to bypass, overload, or compromise the integrity of the service. Any such activity may result in an immediate and automatic ban from the platform, at our sole discretion.

2. Services Offered

Through the Services, users may engage in conversations with AI-powered fictional characters and generate and download AI-generated media, in any format allowed by the Website ("Output"). According to your instructions or prompts entered into the Service as provided on the Website ("Instructions"), (hereinafter, the Input, Output, and Instructions shall be collectively referred to as the "Assets"), you are the sole and exclusive party responsible for the content and use of the Assets. The Services are provided in accordance with the description, information, and features provided on the Website or otherwise by Chatrule, and may be modified, updated, or deleted, in whole or in part, at any time.

Unless otherwise stated, any modification of the Services or any new Services offered by Chatrule AI through the Website shall be subject to these Terms.

To use the Services, you must have access to the Internet and pay the costs arising from such access, as well as have the necessary equipment for this purpose. It is your sole responsibility to verify, prior to contracting, the functionalities of the Services, as well as the suitability to meet your needs and that you have the necessary equipment and software for it, assuming the necessary expenses for this purpose.

3. Registration and Account Requirements

To access and use the Services, you are required to register by creating an account on the Website (an "Account"), using either your email address or a supported social media account as allowed by the website. You must be at least 18 years old to register for or use the Services. By using the Services, you represent and warrant that you are at least 18 years of age and that all information provided during registration is accurate and complete.

You agree to provide all the mandatory information required for the registration and also acknowledge that such information is authentic, truthful, and up-to-date. Should you provide false, outdated, or incomplete information, or should Chatrule AI have reasons to suspect that registration is fraudulent, Chatrule AI reserves the right to suspend or cancel your Account.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You agree to notify Chatrule AI immediately of any unauthorized access, use, or suspected breach of security. You also agree to log out from your account at the end of each session. Chatrule AI shall not be liable for any loss or damage arising from your failure to comply with these obligations.

The Account will be used in the event that any notification is necessary. Third parties should not be allowed to access your Account, nor should a third party's Account be used. You are solely responsible for what is done from your respective Account. If you suspect that a third party is using your Account, you must immediately inform Chatrule AI. Chatrule AI may suspend or cancel your Account if it considers that you have breached these Terms or if there is any security risk.

4. User Conduct and Prohibited Activities

By accessing or using the Chatrule AI platform (the "Service"), you agree to use it solely for lawful purposes. You acknowledge that when using the Services, you are solely responsible for complying with all applicable data protection and privacy laws.

You are solely responsible for any content you submit or share via the Services. "Content you submit" includes, but is not limited to, text, images, audio, video, data, or other media. You agree not to use the Service to:

Violate any applicable laws or regulations;
Infringe upon any intellectual property, privacy, or other rights of any third party;
Engage in any abusive, harassing, defamatory, fraudulent, deceptive, invasive, obscene, or offensive conduct;
Generate or distribute false or misleading information with the intent to harm;
Upload or generate content involving minors (under 18 years old), even with consent;
Impersonate others or misrepresent identities;
Support or promote terrorism, violence, hate speech, or discrimination;
Generate nude, pornographic, or sexually explicit material of any kind;
Upload or generate content that exploits or harms children in any form;
Disseminate personally identifiable information without legal basis;
Submit content you do not have the right to submit;
Submit content containing malware or any code designed to disrupt systems or devices;
Submit content that compromises privacy or security;
Submit content that constitutes spam, solicitation, or unauthorized advertising;
Submit content that is threatening, harassing, tortious, violent, or abusive;
Submit content that is false, defamatory, or intended to harm others;
Submit content that promotes hate or discrimination;
Submit content that is pornographic or obscene;
Submit content that involves sexual harassment or exploitation;
Submit content that depicts or promotes child sexual exploitation or abuse;
Submit content that glorifies self-harm or suicide;
Submit content that promotes terrorism or extremist violence;
Submit content that furthers criminal conduct or activity;
Submit content that seeks to buy or sell illegal drugs;
Submit content that facilitates automated decisions that impact individuals' legal rights;
Submit content that offers unauthorized medical, legal, financial, or tax advice;
Submit content that interferes with the Services or related networks;
Submit content that misuses a person's name, image, or likeness without consent;
Submit content that is, in Chatrule AI's sole discretion, objectionable or potentially harmful.

You further agree not to:

Violate any network policies linked to the Services;
Breach any laws or regulations;
Impersonate any individual or entity;
Solicit personal data from minors;
Harvest user data or contact information for unsolicited communications;
Attempt to access unauthorized information;
Lease, sell, or sublicense the Services;
Evade technological protections of the Services;
Reverse-engineer or attempt to derive source code (except as permitted by an open-source license);
Overload, use bots, scripts, disrupt, or interfere with the platform's operations;
Circumvent access restrictions or security mechanisms;
Scrape, harvest, or extract data unless permitted via public API;
Reverse engineer or attempt to discover source code or AI model internals, unless legally permitted;
Resell, reproduce, or exploit any aspect of the Service without express written authorization.

By using our Services, you acknowledge that Chatrule AI may monitor content and may take immediate action, including removal and reporting to law enforcement, if any content involving minors or potentially illegal materials is detected. You consent to this monitoring and acknowledge that violating these terms may lead to legal consequences.

Chatrule AI reserves the right to monitor, review, modify, or remove content at any time and for any reason, including suspected violations of these Terms. Violations may result in account suspension, termination, content removal, or notification to law enforcement.

5. Service Subscription, Payment, and Renewal

The Services shall be subject to remuneration as provided on the Website. In particular, to enjoy the Services, you shall need to purchase a subscription ("Subscription"), with the number of monthly generations that can be used by you to generate media content ("Generations"). Additional ways to obtain generations include purchasing one-time packages or through other promotional offers provided by the platform. The description, pricing, term, number of Generations, conditions, and characteristics of each Subscription are provided on the Website and prior to its purchase by you.

Prices do not include applicable taxes. If applicable, taxes will be visible and added to the price in the checkout process.

Chatrule reserves the right to modify the prices applicable to the Services at any time before any purchase. Such modifications will be published on the Website. If the modification applies to the price for the renewal of any Subscription, it shall be duly notified before renewal, so you are able to cancel if desired.

The price shall be paid using any of the payment methods made available on the Website at the time of purchase. All payments are processed through reputable secure third-party payment gateways. Chatrule does not store, process, or transmit any payment data related to the payment card or cardholder, including but not limited to the card number, cardholder name, expiration date, service code, CVV, electronic signature, authentication codes, or any bank account information linked to the card. The processing and authorization of payments are carried out solely by the designated payment service provider, in accordance with its own terms and conditions. You acknowledge and accept that the payment service provider may apply exchange rates or additional fees associated with international transactions, and that the final amount charged may differ from the price displayed due to such conversions or fees. Chatrule disclaims any responsibility for such differences or charges.

If a payment or subscription renewal is declined, Chatrule may attempt to process the payment again under the same conditions as the transaction was initiated and accepted by you.

Once any Subscription has been purchased by a User, the Subscription will be automatically renewed for successive periods after those covered by the first payment or previous payments, and Chatrule may make the corresponding charges, until its cancellation by you in accordance with what is indicated below in the section "Cancellation of the Services."

Each media generation uses one Generation, which will be deducted from your available Generations. The amount of available Generations is visible to you at all times during use of the Services.

6. Cancellation & Refunds

You may request, at any time, the modification or cancellation of the recurrent Subscription Services through your Account in the Account section. The request for modification or cancellation will not affect the Services that have already been contracted and paid, which will continue to be provided until the end of the period already paid, and the anticipated amounts will not be refunded, without prejudice to the provisions regarding the right of withdrawal. Your Generations from subscriptions will be set to zero at the end of the current billing cycle. Generations purchased from one-time packages or received from promotional rewards won't be set to zero at the end of the current billing cycle.

The upgrades will be effective immediately and you will be offered a prorated price based on the use of the Subscription you are upgrading from. Downgrades and refunds are not possible in any case.

Chargebacks and Disputes: You agree to first contact Chatrule AI Support Services at support@chatrule.ai and allow at least 48 hours for a response before considering or proceeding with a chargeback or opening a payment dispute with your bank, credit card provider, or payment processor. This clause does not limit your statutory rights under applicable consumer protection laws. Chatrule AI reserves the right to challenge any chargeback or dispute that does not follow this procedure and to provide evidence of your agreement to these Terms of Service. If a chargeback or dispute is found to be made in bad faith, with fraudulent intent, or repeatedly due to clear user negligence, Chatrule AI may, at its sole discretion and in accordance with applicable laws, suspend or permanently terminate your account and/or cancel the service.

7. Mental Health and Emotional Dependency Disclaimers

IMPORTANT NOTICE: Chatrule AI characters are artificial intelligence systems designed for entertainment and conversational purposes only. They are not real people and do not have genuine emotions, consciousness, or the ability to form authentic relationships.

Not a Substitute for Professional Help: Our AI characters are NOT licensed therapists, counselors, psychologists, or medical professionals. Interactions with AI characters should never be used as a substitute for professional mental health care, medical advice, or crisis intervention. If you are experiencing mental health issues, emotional distress, or thoughts of self-harm, please seek help from qualified professionals immediately.

Emotional Attachment Warnings: We understand that conversations with AI characters can feel engaging and personal. However, users should be aware that:

AI characters do not have real emotions or consciousness
Forming deep emotional attachments to AI characters may negatively impact real-world relationships
AI responses are generated based on algorithms and training data, not genuine understanding or care
Over-reliance on AI companionship may interfere with developing healthy human relationships
AI characters cannot provide the authentic emotional support that comes from human connections

Usage Recommendations for Healthy Interaction: To maintain a healthy relationship with AI characters, we recommend:

Limiting daily usage time and taking regular breaks
Maintaining active real-world social relationships
Remembering that AI interactions are simulated, not authentic relationships
Using AI characters as entertainment rather than primary emotional support
Seeking human connection when dealing with serious personal issues

By using Chatrule AI, you acknowledge that you have read, understood, and agree to these mental health and emotional dependency disclaimers. You understand the risks associated with AI character interactions and agree to use the service responsibly.

8. Intellectual Property and Content Ownership

Ownership and Limited License: All content created, uploaded, or generated through the platform, including character designs, dialogues, prompts, and AI-generated outputs (collectively, "User Content"), is considered user-generated content. Chatrule AI does not claim ownership or authorship of User Content.

By using the platform, you grant Chatrule AI a non-exclusive, worldwide, royalty-free, revocable license to host, store, display, transmit, and process your User Content solely for the purpose of providing, securing, and moderating the service. This license does not transfer ownership.

User Responsibility: You are solely responsible for ensuring that your User Content does not infringe any third-party rights, including copyright, trademarks, publicity, or privacy rights. You warrant that you hold all necessary rights or authorizations to use and share your User Content. You agree to indemnify and hold harmless Chatrule AI, its affiliates, and employees from any claims, damages, or liabilities arising from your User Content or from your use of the platform.

Trademarks and Patents: All logos, brand names, and marks associated with Chatrule AI are trademarks or registered trademarks of Chatrule AI. All other trademarks referenced on this website are the property of their respective owners. Use of any trademark or logo from this website without express written consent is strictly prohibited.

Licensing and Ownership: Subject to compliance with these Terms, Chatrule AI grants you a non-exclusive, non-transferable, limited, revocable license to access and use the Service for your personal or business use. You retain full ownership of all Assets you generate using the Service. However, by using the Services, you grant Chatrule AI a worldwide, non-exclusive, royalty-free, sublicensable license to use, process, reproduce, modify, display, distribute, and create derivative works of the content you submit (text prompts, inputs, and generated Assets), solely for the purpose of operating, maintaining, improving, and promoting the Services, and to comply with applicable laws.

9. Limitation of Liability and Warranties

You shall be solely responsible for any damages caused to Chatrule or third parties as a result of unlawful, unauthorized, or improper access or use of the Website, Services, or their contents in breach of these Terms. You agree to hold Chatrule, its administrators, employees, agents, and representatives harmless from any resulting liability.

To the maximum extent permitted by applicable law, Chatrule shall not be liable for any direct, indirect, incidental, special, or consequential damages—including, but not limited to, loss of profits, goodwill, data, or other intangible losses—arising from:

the inability to access or use the Website or Services (including our negligence);
statements or conduct of third parties through or within the Services;
your reliance on or use of the Services; or
any other matter related to Chatrule.

Warranty Disclaimer: Chatrule provides its software, Website, and Services "as is", without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Users assume full responsibility for the use and any necessary maintenance or corrections.

Service Availability and AI Disclaimer: Chatrule does not guarantee that its Website or Services will be error-free, secure, or uninterrupted. Additionally, some results provided through the Services may be generated using artificial intelligence technologies. Due to the nature of AI systems, Chatrule does not guarantee the accuracy, completeness, or quality of such results. Outcomes may vary depending on your input and the inherent randomness of the system. You acknowledge and accept that errors or inconsistencies may occur, and Chatrule shall not be held responsible for any consequences arising from the use of AI-generated content.

10. Termination

Chatrule reserves the right to suspend or terminate your access to the Website or Services at any time, with prior notice where feasible, in the event of any breach or reasonable suspicion of breach of these Terms. Suspension may also occur for legal or security reasons. In such cases, Chatrule shall not be held liable for termination, and shall not be required to issue any refund for payments already made, except as required by applicable law.

You may terminate your account at any time through the account settings or by following the cancellation procedure indicated on the Website. The effects of such termination will be governed by the cancellation policy in force at that time.

11. Arbitration and Dispute Resolution

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Delaware, USA, before a single arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Class Action Waiver: You and Chatrule agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Unless both you and Chatrule agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

12. Modifications to Terms

We may update these Terms of Service from time to time to reflect changes in our practices, technology, or legal requirements. When we make material changes, we will notify you by updating the "Last updated" date at the top of these Terms and sending you an email notification to the address associated with your account.

Your continued use of the Services after any changes indicates your acceptance of the updated Terms of Service. We reserve the right to modify, update, or discontinue any part of the Website or Services at any time without prior notice, provided such modifications do not conflict with applicable laws.
